Casablanca Stock Exchange: Vicenne Group presents its IPO
The Vicenne Group, one of the leading providers of equipment, solutions, and services with a strong technological component for healthcare professionals in Morocco, presented its Initial Public Offering (IPO), which was approved by the Moroccan Capital Market Authority (AMMC), last Thursday in Casablanca.

"Vicenne plans to proceed with an IPO amounting to 499,999,984 dirhams through a capital increase in cash by issuing 2,118,644 shares at a subscription price of 236 dirhams per share, consisting of 50 dirhams as nominal value and 186 dirhams as an issue premium," the group indicates in a document published on the occasion of a press conference dedicated to the detailed presentation of this operation.

After this operation, for which the subscription period is scheduled from June 30 to July 04, 2025, inclusive, Vicenne's shareholding will be composed of Best Financière (34.8%), Amethis Fund II SCA SICAR (24.8%), Free Float (20.7%), Adil Bennani (15.4%), Moufid Benkirane (4.2%), and other shareholders (0.1%).

Subject to the effective completion of the operation, the Vicenne shareholders constituting the Stable Shareholder Group (GAS), namely Best Financière and Adil Bennani (3,258,694 shares), Amethis Fund II (603,462 shares), and Mohamed Moufid Benkirane (241,385 shares), undertake to hold, without being able to transfer them, directly or indirectly, the Company's shares for a period of three years from the first day of listing of the Company's shares on the Casablanca Stock Exchange.

In this document, Vicenne also unveils its financial situation and its main consolidated indicators, which show an increase in turnover of 19.6% to more than 836.6 million dirhams and a net profit of 54.2% to 91.2 million dirhams.

Regarding the group's strategic vision, it is structured around 4 main axes, namely, "strengthening its positioning on existing activities," "developing new complementary products/businesses," "external growth," and "internationalization."

The group's IPO will notably allow for the realization of this strategy and these ambitions.

Vicenne is distinguished by a strong positioning in high value-added segments, in particular heavy and semi-heavy equipment (radiotherapy, medical imaging, and operating room equipment), implantable medical devices (heart valves, cochlear implants, etc.), in vitro diagnostics (equipment and reagents for laboratories, etc.), and the management of waste from infectious healthcare activities (DASRI).

The group has established long-term partnerships with world-renowned international suppliers. Elekta, Philips Medical Solutions, Mindray, Abbott, and Beckman Coulter are among the reference brands, some of which are distributed exclusively by the group in Morocco.

In order to best support its clients, Vicenne is equipped with technical departments composed of biomedical engineers and technicians qualified and certified by the manufacturers.

These departments ensure the design, installation, commissioning, and maintenance of equipment, as well as the training and assistance of their users. They also follow new trends in the sector in constant search of the latest innovations and new technologies.

Since 2020, the group has made the strategic choice to diversify its activities through external growth, materialized in particular by majority stakes in the capital of Mabiotech in 2020, a reference player in medical biology, and Saiss Environnement in 2022, a major player in medical waste treatment.

With a wide and diversified portfolio of products and services (+25,000 references in medical equipment and +185,000 in medical devices) and serving more than 1,800 active clients, the group is structured around 5 segments (Equipment, Consumables, Services, Waste Management, and International), each grouping one or more specialized business units (BU), namely "Equipment" (Hospital Equipment, Imaging, Radiotherapy, Laboratory), "Consumables" (Cardiology, Oncology & Surgery, ENT, Reagents for biology and chemistry analyses), "Services" (After-sales services and maintenance), "Waste Management" (Treatment of waste from infectious healthcare activities "DASRI"), and "International" (Group's international activities).

The organization by BU is deployed within the subsidiaries, with internal coordination ensuring operational synergy. Strategic coordination at the group level guarantees overall coherence while leaving operational autonomy to the entities.
